Murto Nel called a shareholder meeting at the beginning of the dispute. At the shareholder meeting which can be watched in the two videos below, Murto is asked for the Shareholder registry. He states very clearly in the meeting that the Shareholder registry is empty. He also states very clearly that there were no share certificates issued.
Later, in court, Murto presented under oath both share certificates and shareholder log entries, both of which, if looked at closely will lead the viewer to come to a conclusion if they understand or look up Philippine Corporate law.
It is the position of Current Utilities, Inc. that the original claim by Murto Nel that there were no entries in the Shareholder log and that no share certificates were issued was correct. Thus, Current Utilities, Inc. believes that the documents later provided to the court were fraudulent.
In the video, the Attorney of Murto can be heard asking Gregory Anderson if he had valid immigration papers, which he did have. Later, Murto Nel filed papers with the Immigration department asking the immigration department to cancel the work visas of Roy Anderson and others.
In the second video, Murto presents what is called a General Information Sheet (GIS) and claims that it shows that he and Bastiaan Derksen are the majority owners. It is a document that is filed with the Securities and Exchange Commission in the Philippines. The document essentially attests as to who the existing shareholders and board members are as of the date of filing.
To file a new GIS is a simple matter. One simply fills out the form with the information, attests to it and has it notarized for about $4.00 US (200 pesos) that it is true and correct. One then goes to the SEC offices in Manila or in Tarlac, files it (it will be automatically accepted, even if the data is false) and then asks for a certified copy of the GIS. Thereafter, one can use this document to correctly or fraudulently (depending on whether the data attested to was correct or not) claim ownership of a company, open bank accounts for the company, etc. This would not make those actions legal under the law if the attestation is fraudulent.
